Stable Baseline — Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Stable Baseline website and application (the "Service"). By accessing or using the Service, you agree to these Terms.
If you do not agree to these Terms, do not use the Service.
1. Who we are (Company details)

In these Terms, "we", "us", and "our" refer to ORIXIAN SOLUTIONS PTY LTD.
2. Early Access program
The Service is currently offered as an Early Access product. This means the Service and its features are still evolving and may change, including (without limitation) features, usage limits, availability, compatibility, and performance.
By using the Service during Early Access, you acknowledge and agree that:
- features may be added, modified, renamed, limited, removed, or discontinued at any time;
- we may introduce or change plans, pricing, and usage rules more frequently than a mature product;
- the Service may be less stable or reliable than a generally available product.
3. Definitions
- "Account" means the user account you create to access the Service.
- "Workspace" means a workspace/organisation container and its associated projects, folders, documents, and settings.
- "User Content" means any content you upload, submit, create, store, or transmit using the Service (including documents, diagrams, files, text, images, and metadata).
- "Credits" means usage units that may be required for certain features, as described in-product.
- "AI Features" means optional functionality that uses machine learning / generative AI to assist with content generation, summarisation, transformation, or similar workflows.
- "Subscription" means a paid plan that provides access to certain features, usage limits, or entitlements.
4. Eligibility (including under-18 users)
You may use the Service if you can form a legally binding contract in your jurisdiction.
If you are under 18, you may use the Service only with the consent of a parent or legal guardian, who agrees to be responsible for your use of the Service and your compliance with these Terms.
5. Accounts and security
You are responsible for:
- maintaining the confidentiality of your login credentials,
- all activity under your Account (including actions taken via API or MCP access connected to your Account),
- ensuring any information you provide is accurate and kept up to date.
You must notify us promptly if you suspect unauthorised access to your Account.
6. The Service
Stable Baseline provides software for documentation and related workflows (including diagrams and text-based documentation), and may include exports, collaboration tools, and AI-assisted functionality.
We will use reasonable efforts to keep the Service available, but you acknowledge the Service may experience downtime, maintenance windows, interruptions, or errors—particularly during Early Access.
7. Subscriptions, fees, and changes (Early Access)
Some parts of the Service may require a paid Subscription.
During Early Access:
- prices, plans, entitlements, and included features may change regularly, including increases or decreases;
- we may introduce new paid tiers, restructure existing tiers, or change what is included in any tier;
- fees (if applicable) may be billed in advance on a recurring basis (monthly or annually) depending on your selection at the time of purchase.
We will use reasonable efforts to provide notice of material changes (for example, in-app or via email). Continued use of the Service after changes take effect means you accept the updated pricing, entitlements, or rules.
Taxes: You are responsible for any applicable taxes unless we state otherwise.
Cancellations: You can cancel your Subscription through the Service (if available) or by contacting us.
Refunds: Except where required by law, fees are non-refundable and we do not provide pro-rated refunds for partial billing periods.
Australian Consumer Law: Nothing in these Terms excludes, restricts, or modifies any rights you may have under Australian Consumer Law that cannot be excluded.
8. Credits (usage units)
Where Credits apply:
- Credits are not currency, have no cash value, and are non-transferable.
- Credits may be required to use certain features (including AI Features and/or exports), as described in-product.
- Credits may expire or reset based on plan rules displayed in-product.
- We may change credit rules, costs, expiry, and resets during Early Access.
9. User Content
9.1 You own your User Content
You retain ownership of your User Content.
9.2 License to operate the Service
You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display your User Content only to:
- provide, operate, and maintain the Service,
- secure the Service and prevent abuse,
- create backups and enable disaster recovery,
- comply with legal obligations and enforce these Terms.
9.3 Your responsibilities
You are responsible for your User Content and represent that you have all rights necessary to upload, store, and use it in the Service.
You must not upload or process content that:
- infringes intellectual property, confidentiality, or privacy rights,
- is unlawful, harmful, deceptive, or fraudulent,
- contains malware or attempts to disrupt the Service,
- you do not have authorisation to disclose or process.
We may remove or restrict access to content that violates these Terms or applicable law.
10. Acceptable use
You agree you will not (and will not permit others to):
- attempt to copy, modify, decompile, reverse engineer, or extract source code from the Service (except where prohibited by law);
- bypass or break security controls, rate limits, usage limits, or access controls;
- disrupt the Service, overload infrastructure, or introduce malware;
- probe, scan, or test vulnerabilities without our written permission;
- use the Service for spam, unauthorised marketing, or bulk unsolicited messaging;
- harvest or collect information about other users without consent;
- impersonate any person or entity or misrepresent affiliation;
- use the Service to violate laws or third-party rights.
We may implement technical controls (including rate limits) to protect the Service and other users.
11. AI Features
11.1 Inputs and Outputs
If you use AI Features:
- "Input" means information or content you submit to AI Features (which may include User Content or prompts),
- "Output" means the generated result produced by AI Features.
You are responsible for the Inputs you provide and for reviewing and validating Outputs before relying on them.
11.2 No guarantee of accuracy
AI Features and Outputs may be inaccurate, incomplete, misleading, or inappropriate. AI Features are not intended to provide legal, medical, financial, or other professional advice.
11.3 Third-party AI processing (no training / no retention configuration)
To provide AI Features, we may transmit Inputs to third-party AI providers for processing. We use providers and configurations intended to ensure:
- your Inputs and Outputs are not used to train their models, and
- zero data retention / no-retention modes are enabled where available (or equivalent safeguards).
Additional details may be described in our Privacy Policy and/or security documentation.
11.4 Sensitive information
You should not submit passwords, private keys, authentication tokens, or other highly sensitive secrets to AI Features.
12. Privacy, data location, and deletion
12.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy. If there is a conflict, the Privacy Policy controls with respect to personal information handling.
12.2 Data hosting location
The Service is hosted primarily in Singapore. By using the Service, you acknowledge your data may be stored and processed in Singapore and in other locations where we or our service providers operate (for example, for content delivery, monitoring, or incident response).
12.3 Account deletion and data deletion
You can delete your Account (and associated User Content) through the Service (where available). When you request deletion, we will delete or de-identify your personal information and User Content within a reasonable period, except to the extent we must retain information for:
- legal compliance,
- security and fraud prevention,
- dispute resolution or enforcement of these Terms,
- limited backup retention (Section 12.4).
12.4 Backups and logs
For reliability and security, we maintain backups and operational logs. Deleted content may persist in backups for a limited time until backups are rotated or overwritten.
13. Intellectual property
The Service (including its software, design, branding, and non-user templates) is owned by us or our licensors and is protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms.
Feedback
If you provide feedback or suggestions, you grant us a perpetual, worldwide, royalty-free right to use them without restriction or compensation.
14. Third-party services and integrations
The Service may integrate with third-party services (including authentication, storage, analytics, AI providers, exports, and other integrations). Your use of third-party services is governed by their terms and policies, and we are not responsible for third-party services.
15. Beta / preview / "coming soon" features
Some features may be offered as beta, preview, early access, or described as "coming soon". These features may:
- change materially before general availability,
- have reduced reliability or support,
- be discontinued at any time.
To the extent permitted by law, these features are provided "as is" and "as available".
16. Suspension and termination
16.1 By you
You may stop using the Service at any time. You may delete your Account as described in Section 12.
16.2 By us
We may suspend or terminate your access to the Service if:
- you breach these Terms,
- your use poses a security risk to the Service or other users,
- we are required to do so by law.
Where reasonable, we will provide notice and an opportunity to remedy, but we may act immediately in urgent cases.
16.3 Effect of termination
Upon termination, your right to use the Service stops. Data deletion is handled as described in Section 12.
17. Disclaimers
The Service is provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Australian Consumer Law: Nothing in these Terms excludes, restricts, or modifies consumer guarantees or other rights that cannot be excluded under Australian law.
18. Limitation of liability
To the maximum extent permitted by law:
- We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, goodwill, business opportunity, or data, arising from or related to the Service.
- Our total aggregate liability for any claims relating to the Service will not exceed the amount you paid to us for the Service in the 12 months before the event giving rise to the claim (or, if you have not paid anything, AUD $100).
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
19. Indemnity
You agree to indemnify and hold us harmless from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- your use of the Service,
- your User Content,
- your violation of these Terms or applicable law,
- your infringement of any third-party rights.
20. Changes to the Service or Terms
We may update the Service and these Terms from time to time. We will update the "Last updated" date when we change these Terms.
If changes are material, we will use reasonable efforts to provide notice (for example, in-app or via email). Continued use of the Service after changes take effect means you accept the updated Terms.
21. Governing law and jurisdiction
These Terms are governed by the laws of Australia, and you submit to the exclusive jurisdiction of the courts of the State of Victoria and the Commonwealth of Australia.
22. Miscellaneous
Severability
If any provision of these Terms is unenforceable, the remaining provisions remain in effect.
Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate restructure, or sale of assets.
Entire agreement
These Terms, together with any policies referenced (including the Privacy Policy), are the entire agreement between you and us regarding the Service.
